(WpÜG Fees Ordinance)

Auf Grund des § 47 Satz 2 des Wert­pa­pier­erwerbs- und Ü­ber­nah­me­ge­setzes vom 20. Dezember 2001 (BGBl. I S. 3822) in Ver­bindung mit dem 2. Abschnitt des Ver­waltungskos­tengesetzes vom 23. Juni 1970 (BGBl. I S. 821) verordnet das Bun­des­mi­nis­te­ri­um der Finanzen:

On the basis of § 47 sentence 2 of the Securities Acquisition and Takeover Act of 20 December 2001 (Federal Legislative Journal I, p. 3822) in conjunction with the 2^nd Division of the Administrative Costs Act of 23 June 1970 (Federal Legislative Journal I, p. 821), the Federal Ministry of Finance hereby orders as follows:

§ 1
Anwendungsbereich

Area of Application

Die Bundesanstalt für Fi­nanz­dienst­leis­tungs­aufsicht (Bundesanstalt) erhebt zur Deckung der Ver­wal­tungskosten für die nachfolgend aufge­zählten Handlungen nach dem Wert­papier­erwerbs- und Ü­ber­nahmegesetz Gebühren und Auslagen nach Maßgabe dieser Verordnung.

The Federal Agency for Financial Services Supervision (Federal Agency) shall charge fees and disbursements in accordance with this Ordinance in order to cover the administrative costs of the acts under the Securities Acquisition and Takeover Act which are listed below.

§ 2
Gebührenpflichtige Handlungen

§ 2
Actions subject to Fees

Gebührenpflichtige Handlungen sind:

The following shall be acts subject to fees:

1. die Bescheidung eines Antrages auf gleich­zeitige Vornahme der Mit­teilung und der Veröffent­li­chung nach § 10 Abs. 2 Satz 3 des Wert­pa­pier­erwerbs- und Übernah­megesetzes,

1. deciding on an application for permission to effect the notification and the publication simultaneously pursuant to § 10 para. 2 sentence 3 of the Securities Acquisition and Takeover Act,

2. die Gestattung der Veröffentlichung der An­ge­bots­unterlage oder das Ver­streichen laßen der in § 14 Abs. 2 Satz 1 des Wertpapier­erwerbs- und Ü­ber­nahmegesetzes ge­nannten Frist,

2. permitting publication of the offer document or allowing the time limit referred to in § 14 para. 2 sentence 1 of the Securities Acquisition and Takeover Act to elapse,

3. die Untersagung des Angebotes nach § 15 Abs. 1 oder 2 des Wert­pa­piererwerbs- und Übernahme­gesetzes,

3. prohibiting an offer pursuant to § 15 paras. 1 or 2 of the Securities Acquisition and Takeover Act,

4. die Bescheidung eines Antrages auf Be­freiung nach § 20 Abs. 1 des Wertpapier­er­werbs- und Ü­ber­nah­me­gesetzes,

4. deciding on an application for exemption pursuant to § 20 para. 1 of the Securities Acquisition and Takeover Act,

5. die Bescheidung eines Antrages auf Aus­nahme bestimmter Inhaber von Wertpapieren von einem Angebot nach § 24 des Wert­papiererwerbs- und Ü­ber­nah­me­gesetzes,

5. deciding on an application for the exclusion of particular holders of securities from an offer pursuant to § 24 of the Securities Acquisition and Takeover Act,

6. die Untersagung von Werbung nach § 28 Abs. 1 des Wertpapiererwerbs- und Übernah­me­gesetzes,

6. prohibiting advertising pursuant to § 28 para. 1 of the Securities Acquisition and Takeover Act,

7. die Bescheidung eines Antrages auf Nicht­berücksichtigung von Aktien der Zielgesell­schaft bei der Berechnung des Stimm­rechtsanteils nach § 36 des Wert­pa­piererwerbs- und Übernahme­gesetzes,

7. deciding on an application for disregard of shares of the target company when calculating the proportion of voting rights pursuant to § 36 of the Securities Acquisition and Takeover Act,

8. die Bescheidung eines Antrages auf Be­freiung von der Verpflichtung zur Ver­öffentlichung und zur Ab­gabe eines Ange­botes nach § 37 Abs. 1 des Wert­papiererwerbs- und Über­nah­me­gesetzes,

8. deciding on an application for exemption from the obligation to publish and to make an offer pursuant to § 37 para. 1 of the Securities Acquisition and Takeover Act,

9. die Bescheidung eines Widerspruchs nach § 41 in Ver­bindung mit § 6 des Wert­pa­piererwerbs- und Ü­ber­nah­me­gesetzes.

9. deciding on an objection pursuant to § 41 in connection with § 6 of the Securities Acquisition and Takeover Act.

§ 3
Auslagen

§ 3
Disbursements

Als Auslagen werden die Kosten der Ver­öffentlichung nach § 44 des Wert­pa­pier­erwerbs- und Über­nahmegesetzes sowie die Kosten, die im Rahmen des Wi­der­spruchsverfahrens den Mit­gliedern des Wi­der­spruchsaußchußes für die Teil­nahme an den Sitzungen entstehen, er­hoben. Im Übrigen gilt § 10 des Ver­wal­tungs­kostengesetzes.

The costs of publication pursuant to § 44 of the Securities Acquisition and Takeover Act and the costs which are incurred by members of the Objections Committee for participation in the meetings within the framework of the objections procedure shall be charged as disbursements. Otherwise, § 10 of the Administrative Costs Act shall apply.

§ 4
Höhe der Gebühren

§ 4
Level of Fees

(1) Die Gebühr beträgt für Amts­hand­lungen

(1) The fee shall be, in the case of official acts:

- nach § 2 Nr. 1: 1 000 Euro,

- pursuant to § 2 no 1: 1,000 euros,

- nach § 2 Nr. 4: 2 000 bis 5 000 Euro,

- pursuant to § 2 no. 4: 2,000 to 5,000 euros,

- nach § 2 Nr. 5, 6 oder 7: 3 000 bis 10 000 Euro,

- pursuant to § 2 nos. 5, 6 or 7: 3,000 to 10,000 euros,

- nach § 2 Nr. 8: 5 000 bis 20 000 Euro,

- pursuant to § 2 no. 8: 5,000 to 20,000 euros,

- nach § 2 Nr. 2 oder 3: 10 000 bis 100 000 Euro.

- pursuant to § 2 nos. 2 or 3: 10,000 to 100,000 euros.

(2) Die Gebühr beträgt für Entscheidungen über Widersprüche gegen Amtshandlungen

(2) The fee shall be, in the case of decisions on objections against official acts:

- nach § 2 Nr. 1: 2 000 Euro,

- pursuant to § 2 no. 1: 2,000 euros,

- nach § 2 Nr. 4: 4 000 bis 10 000 Euro,

- pursuant to § 2 no. 4: 4,000 to 10,000 euros,

- nach § 2 Nr. 5, 6 oder 7: 6 000 bis 20 000 Euro,

- pursuant to § 2 nos. 5, 6 or 7: 6,000 to 20,000 euros,

- nach § 2 Nr. 8: 10 000 bis 40 000 Euro,

- pursuant to § 2 no. 8: 10,000 to 40,000 euros,

- nach § 2 Nr. 2 oder 3: 20 000 bis 200 000 Euro.

- pursuant to § 2 nos. 2 or 3: 20,000 to 200,000 euros.

Die Gebühr beträgt für Entscheidungen über Widersprüche gegen Amts­hand­lungen nach § 4 Abs. 1 Satz 3 oder § 10 Abs. 1 Satz 3 des Wertpapiererwerbs- und Übernahme­gesetzes: 3 000 Euro bis 10 000 Eu­ro.

In the case of decisions on objections against official acts pursuant to § 4 para. 1 sentence 3 or § 10 para. 1 sentence 3 of the Securities Acquisition and Takeover Act the fee shall be: 3,000 euros to 10,000 euros.

(3) Wird ein Antrag zurückgenommen oder erledigt er sich auf andere Art und Weise, nachdem die Bun­des­anstalt die Bearbeitung begonnen hat, so ist die Hälfte der Gebühr zu entrichten.

(3) If an application is withdrawn or has otherwise been dealt with after the Federal Agency began to process it, half of the fee shall be payable.

§ 5
Vorschuß

§ 5
Advance Payment

Die Bundesanstalt erhebt für Amts­handlungen nach § 2 Nr. 2, 3 und 9 einen Vor­schuß in Höhe von 50 vom Hundert der Gebühr nach § 4.

The Federal Agency shall require an advance payment in the amount of 50 per cent of the fee pursuant to § 4 for official acts pursuant to § 2 nos. 2, 3 and 9.

§ 6
Inkrafttreten

§ 6
Entry into Force

Diese Verordnung tritt am 1. Januar 2002 in Kraft.

This Ordinance shall enter into force on 1 January 2002.
